By accessing or using the Goodlight Systems, Inc. ("Goodlight," "we," "our," or "us") website, AI Store platform, or any other products or services offered by Goodlight (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

We may modify these Terms at any time. It is your responsibility to review these Terms periodically. Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes.

2. Description of Services

Goodlight provides Shopie, a retail operating system that combines chat, voice, and visual shopping into one intelligent interface. Shopie-powered storefronts, which we call AI Stores, understand customer emotions and needs, and then guide them to the right products in your brand's voice. Each AI Store runs securely with your inventory, brand identity, and business rules.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Services.

3. User Accounts

To access certain features of the Services, you may need to create an account. You are responsible for:

• Providing accurate and complete information during registration
• Maintaining the security of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

We reserve the right to disable your account at our sole discretion if we believe that you have violated these Terms.

4. User Content

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted or error-free, that defects will be corrected, or that the Services or the servers that make them available are free of viruses or other harmful components.

Goodlight's AI technology is continuously evolving, and responses generated by our AI may not always be accurate, complete, or suitable for all purposes. You acknowledge that AI-driven content should be reviewed and verified as appropriate for your needs.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOODLIGHT AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

In no event shall our total liability to you for all claims exceed the amount paid by you, if any, for accessing or using the Services during the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Goodlight and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party right; or (d) your User Content.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the federal or state courts located in New York County, New York.

12. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease.
